Terms & Conditions

1. Definitions

"The Company", "We", "Us" refers to Huxo Systems Ltd.
"The Client", "You" refers to the business entity engaging our services.
"The System" refers to any digital infrastructure, website, or automation workflow built by Huxo.

2. Services & Scope

Huxo provides digital marketing operations and infrastructure services. We do not provide "creative agency" services such as social media management, videography, or general graphic design unless explicitly stated in a project scope. All engagements begin with a Blueprint Audit or a defined Setup phase.

3. The Blueprint Audit

The Blueprint Audit is a fixed-fee diagnostic service. Payment is due 100% upfront to secure the booking. The output is a strategic roadmap and video walkthrough. The Audit fee does not include implementation of the roadmap unless a separate Project Agreement is signed.

4. The Trade Engine™ (Subscription Services)

For clients on The Trade Engine™ or other recurring plans:

  • Payment: Monthly fees are collected automatically via Stripe.
  • Minimum Term: There is a minimum term of 3 months for all Trade Engine websites to cover setup engineering.
  • Cancellation: After the minimum term, you may cancel with 30 days' written notice.
  • Ownership upon Cancellation: If you cancel The Trade Engine™, the website hosting and maintenance provided by Huxo will cease. You may request an export of your content (text and images), but proprietary code, TradeFlow™ logic, and theme files remain the intellectual property of Huxo Systems Ltd.

5. Intellectual Property (IP)

Background IP: Huxo retains all rights to its pre-existing code libraries, automation scripts (e.g., SpecifierSync™, TradeFlow™), and design frameworks. You are granted a non-exclusive, non-transferable license to use these systems for your business operations while you are a client.

Client IP: You retain full ownership of your logos, brand assets, product images, and specific text copy provided to us.

6. Limitation of Liability

While we engineer systems for performance, Huxo cannot guarantee specific commercial results (e.g., "X number of leads per week") as these depend on external market factors. Our liability is limited to the value of the fees paid by the Client in the preceding 3 months.

7. Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales.
